These Terms of Service ("Terms") govern your access to and use of Scalar (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service.
The Service lets you and your collaborators create workspaces, binders, cards, comments, attachments, and related content ("Your Content"). You retain all rights to Your Content. You grant us a limited license to host, store, process, and display Your Content solely to operate and improve the Service. Workspace owners and administrators may manage members, content, and settings within their workspaces, including removing members or deleting content.

The Service may offer AI-assisted features that generate responses based on content in your workspace. AI output may be inaccurate or incomplete; you are responsible for reviewing it before relying on it. Do not treat AI output as professional advice.
We rely on third-party providers (for example, to deliver email) to operate the Service. Your use of the Service may be subject to those providers' terms. We are not responsible for third-party services we do not control.
The Service, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding.
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or others. Upon termination, your right to use the Service ceases, and we may delete Your Content after a reasonable period unless retention is required by law.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us, if any, in the twelve months before the event giving rise to the claim.
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting the updated Terms with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
